5. Intellectual Property Rights

Your Obligations:
- Respect and comply with all copyright and trademark notices and other intellectual property notices
- Obtain written permission before using our proprietary content or materials
- Provide appropriate attribution when required
- Refrain from copying, modifying, or distributing protected materials
- Not claim ownership or authorship of our proprietary works
- Not use our intellectual property in any manner likely to cause confusion, misrepresentation, or damage to our brand
- Any unauthorized use of our intellectual property shall entitle us to seek equitable relief (including injunctions) and damages under applicable law, in addition to any contractual remedies

- Retain ownership of materials you create and submit
- Grant GGIL limited license to process and deliver services
- Maintain responsibility for accuracy and legal compliance
- Control distribution and usage rights for your content
Our Usage Rights:
- Process your content to deliver requested services
- Share with partners as necessary for service fulfillment
- Store and backup content for business continuity
- Use aggregated, anonymized data for service improvement
- GGIL shall not be liable for any User Content that is inaccurate, unlawful, or infringes third-party rights, and the user shall indemnify GGIL against any claims arising from such content
6. Payment Terms and Billing
6.1 Fees and Pricing

- Educational program fees as specified in registration materials

- Additional services and expedited delivery subject to supplemental charges

8. Limitation of Liability
8.1 Service Limitations

- Third-party service dependencies may affect delivery timelines
- Technical specifications limited by satellite sensor capabilities
- Educational content reflects current industry knowledge and practices
Disclaimers:
- Services provided "as is" without warranty of merchantability or fitness
- No guarantee of specific outcomes or business results
- Weather and technical factors may affect satellite imagery quality
- Educational programs provide general guidance, not specific professional advice
8.2 Liability Limitations
Maximum Liability:
- Total liability limited to fees paid for specific affected services
- No liability for indirect, consequential, or speculative damages
- No responsibility for business interruption or lost profits
- Force majeure events exclude GGIL from performance obligations
Exceptions:
- Liability limitations do not apply to gross negligence or willful misconduct
- Data protection violations subject to applicable regulatory penalties
- Intellectual property infringement claims handled separately
- Personal injury or property damage not subject to limitations
9. Export Control and Compliance
9.1 Regulatory Framework
Applicable Export Controls: KOMPSAT satellite imagery is subject to multiple export control regulations that apply to all users.
Primary Regulations:
- Republic of Korea Export Controls: KOMPSAT satellites are Korean government assets operated by KARI, subject to Korean Ministry of Trade, Industry and Energy (MOTIE) regulations
- International Traffic in Arms Regulations (ITAR): KOMPSAT satellites contain U.S.-origin components, making ITAR compliance mandatory for all imagery distribution and use
- Kenya Regulations: Compliance with Kenya Data Protection Act and trade regulations
- International Sanctions: United Nations, African Union, and other international treaty obligations
Legal Basis: Distribution of KOMPSAT satellite imagery requires compliance with multiple regulatory frameworks as established by the satellite operators and relevant government authorities.
9.2 End-User License Agreement (EULA) Requirement
Mandatory EULA Signature: All clients must sign an End-User License Agreement (EULA) before receiving KOMPSAT satellite imagery products. This is a standard industry requirement for satellite imagery distribution.
EULA Requirements:
- Covers export control compliance obligations
- Specifies permitted uses and redistribution restrictions
- Includes copyright attribution requirements
- Contains legal liability and indemnification clauses
EULA Process: Before receiving KOMPSAT imagery, you must sign an End-User License Agreement. GGIL will provide and explain the EULA, with particular focus on export control requirements, to ensure you understand your obligations.
Copyright Attribution Required: All KOMPSAT imagery use must include: "© Korea Aerospace Research Institute (KARI). Distributed by SI Imaging Services (SIIS) through GGIL."
9.3 Restricted Destinations and Entities
Comprehensively Embargoed Countries: Virtually all transactions prohibited without specific government licenses:
- Cuba
- Iran
- North Korea
- Syria
- Crimea, Donetsk, and Luhansk regions of Ukraine
Countries with Targeted Sanctions: Specific restrictions on certain activities and entities:
- Russia (significantly expanded sanctions since 2022)
- Belarus
- Venezuela
- Myanmar (Burma)
Additional Restricted Destinations: Countries subject to various international restrictions:
- Afghanistan
- Central African Republic
- Democratic Republic of the Congo
- Lebanon
- Libya
- Somalia
- Sudan
- South Sudan
- Yemen
- Zimbabwe
Specially Designated Nationals (SDN) List:
- All transactions screened against OFAC SDN List (17,000+ restricted individuals and entities worldwide)
- Restrictions apply regardless of entity location
- Includes persons and organizations connected with sanctions targets
9.4 Restricted Uses and Applications
Prohibited End Uses:
- Military or defense-related activities without appropriate licenses
- Intelligence gathering or surveillance without legal authorization
- Activities supporting sanctioned entities or prohibited destinations
- Use in violation of international law or human rights principles
High-Risk Applications Requiring Approval:
- Defense and security operations
- Critical infrastructure monitoring in sensitive regions
- Government intelligence or law enforcement applications
- Border security and military reconnaissance
Special Approval for L1A Products: Level 1A (raw, unprocessed) imagery requires additional export approvals and may be restricted for certain destinations or applications.
9.5 User Certifications and Obligations
User Certifications: By accepting these terms and ordering satellite imagery, you certify that:
- You are not located in or affiliated with restricted destinations
- You are not on any SDN or restricted party list
- Your intended use complies with applicable Korean export regulations, ITAR, Kenya laws, and international sanctions
- You will not share data with prohibited parties or for restricted uses
- You will maintain appropriate records for compliance verification (5-year minimum retention)
- You will obtain necessary licenses for any restricted applications
Ongoing Compliance:
- Notify GGIL immediately if circumstances change affecting export compliance
- Provide end-user information and intended applications truthfully
- Cooperate with compliance audits or government inquiries
- Report suspected violations or diversion attempts
9.6 Geographic Restrictions
Sensitive Locations:
- Certain countries and regions subject to enhanced scrutiny
- Government approval may be required for sensitive locations
- Partner agreements may impose additional restrictions
- Critical infrastructure areas subject to special licensing
9.7 Compliance Consequences
User Violations Result In:
- Immediate termination of your license and data access rights
- Obligation to destroy or return all satellite imagery immediately
- Loss of future service eligibility with GGIL and partner providers
- Referral to appropriate government enforcement authorities
- Financial penalties under Korean, U.S., Kenya, and international export control laws
- Potential criminal prosecution for willful or repeated violations
- Industry reporting and reputational consequences
Your Indemnification Obligation: You agree to defend, indemnify, and hold harmless GGIL, SIIS, and KARI from any and all liability, claims, damages, and costs (including legal fees) arising from your export control violations, including situations where you fail to provide accurate end-user information or obtain required EULA signatures.

- Maintain confidentiality of proprietary or sensitive information shared during sessions
Participation Rights:
- Access educational content and materials provided during sessions
- Participate in Q&A, polls, and interactive activities
- Receive recordings and supplemental materials as specified
- Request technical support for platform access and participation
- Acknowledge that GGIL is not liable for interruptions or failures caused by third-party platforms or participant's connectivity
11.2 Recording and Content Usage
Recording Consent:
- Registration and participation constitutes consent to recording and content capture
- Recordings may be used for training, marketing, and educational purposes, provided that participants are not misrepresented or confidential information disclosed
- Participant images and voices may appear in promotional materials
- Opt-out options available prior to or during sessions for those who do not wish to be recorded
Content Rights:
- GGIL retains rights, title and interest to educational content and presentation materials
- Participants may use information for internal business purposes
- Redistribution, reproduction or commercial use of any content requires GGIL's prior written permission
- Attribution required for public use of information or insights
12. Service Suspension and Termination
12.1 Service Rights
Client Rights:
- Cancel pending service requests with 30 days' notice
- Request service modifications before delivery begins, subject to mutual agreement on scope, timelines, and fees
- Discontinue use of website and services at any time, without prejudice to obligations accrued before discontinuance
- Request deletion of submitted information subject to legal, regulatory, and contractual retention requirements
GGIL Rights:
- Refuse service requests that violate these terms, applicable laws, or third-party rights
- Suspend service delivery for non-payment with 30 days' notice
- Terminate service relationships for material breach of terms
- Emergency suspension for security threats or legal compliance issues
12.2 Post-Service Obligations
Client Obligations:
- Pay all outstanding fees for services delivered up to the date of termination or discontinuance
- Comply with ongoing data usage and confidentiality requirements
- Return or cease use of proprietary materials as requested
- Honor intellectual property and export control obligations
GGIL Obligations:
- Complete delivery of paid services unless terminated for cause
- Maintain confidentiality of client information per retention policies
- Provide reasonable transition assistance where appropriate
- Process applicable refunds according to stated policies
13. Dispute Resolution
13.1 Informal Resolution
Initial Process:
- Direct communication with account manager or customer service
- Good faith negotiation within 30 days of dispute notification
- Escalation to senior management for unresolved issues
- Documentation of dispute details and resolution attempts
13.2 Formal Resolution
Mediation:
- Binding mediation through recognized mediation service in Kenya
- Costs shared equally between parties unless otherwise agreed

14. Force Majeure and Extraordinary Circumstances

- Natural disasters, extreme weather, and environmental catastrophes
- Government actions, regulations, and legal restrictions
- War, terrorism, civil unrest, and security threats
- Technical failures, cyber-attacks, and infrastructure disruptions
- Pandemic, epidemic, and public health emergencies
- Satellite failures, launch delays, and space-related incidents
Effect on Performance:
- Suspension of performance obligations during force majeure events
- Extension of delivery timelines for affected services
- No liability for delays or non-performance caused by qualifying events
- Reasonable efforts to minimize impact and maintain communication
14.2 Mitigation and Communication
Response Procedures:
- Prompt notification of force majeure events and expected impact
- Regular updates on status, duration, and resolution efforts
- Alternative service options and workaround solutions when available
- Adjustment of terms and timelines to accommodate circumstances
15. Modifications and Updates
15.1 Terms Updates

- Review and update terms annually or as law or business requirements change
- Notification of material changes through email and website announcements with 30 days' notice
- Effective date specified for new terms and transition period
- Continued service use constitutes acceptance of updated terms
User Options:

- Discontinue services if in disagreement with updated terms, subject to payment for services already rendered

- Supersedes all prior negotiations, agreements, and understandings
